Introduction & Scope

Fave is a consumer application owned and operated by Pine Labs India Private Limited, a company incorporated under the Companies Act, 1956/2013 and having its registered office at Unit No. 408, 4th Floor, Time Tower, MG Road, Gurgaon - 122002, Haryana, (“Fave”, “we”, “us”). We offer the services related to all TPAP functionalities (UPI), and all Bill Payments functionalities (“Services”) at the request of a registered user (“you”, “your”) of our application (“Application”).
These Terms & Conditions (“Terms”) along with the Privacy Policy (“Policy”) shall apply to all Services, offered by Fave on the Application.
We request you to go through these Terms carefully before you decide to access the Application and the Services.

Acceptance of Terms

By registering on, accessing, browsing, downloading, or using the Application for any general purpose or for the specific purpose of availing any Service, you agree to be bound by the general terms outlined herein and the service-specific terms and conditions applicable to each Service. If at any time you do not accept or agree with any of the Terms or do not wish to be bound by the Terms, you may not access, or use the Application and immediately terminate availing the Services.
As long as you accept and comply with these Terms, Fave grants you a personal, non-exclusive, non-transferable, limited, revocable privilege to use the Application and/or avail of the Services.

Eligibility

By accessing the Platform, you also confirm that (a) you are above 18 years of age, (b) you agree to these Terms and provide your free, specific, informed, unambiguous, and unconditional consent to the practices described in these Terms, and (c) you shall not impersonate any person or entity, or falsely state or otherwise misrepresent your identity, age, or affiliation with any person or entity. In the event of any violation of the Terms, we reserve the right to suspend or permanently prevent you from availing of Services or using the Application.
You understand that the Platform is meant for usage and access within the territory of the Republic of India, and cannot be accessed outside the territory of India. Fave is only bound by applicable laws of India and is not liable under any foreign laws.

Services

Bill Payments

You can choose to add a biller of choice from the list of billers available on Fave (“biller”). This will require one or more customer identification numbers such as customer ID, mobile number, etc. Once you have added a biller, you can choose to pay a bill if/when it is generated. Some billers may also offer you an option to pay them without a bill. The amount you are allowed to pay for a bill is based on the rules that the Biller sets (exact bill amount, equal to or more than the bill amount, etc.).
From time to time, Fave, at its sole discretion, can add to or delete from such list of billers or types of payment accounts that can be used in respect of making payments to a biller. The type and range of payment accounts that can be used for making payments may differ for each biller depending on biller specifications. There may be additional fees/charges when using certain types of payment accounts in respect of a biller. The terms upon which a payment can be made to a biller can differ depending on whether a card or a bank account is used to issue the payment instructions.
Depending on the specific facilities allowed by a Fave business partner, payments to a biller can be made: (i) by issuing a payment instruction for an online debit/charge to a payment account or (ii) by scheduling an automated debit to a payment account. In using the bill payment service, you agree to:

provide true, accurate, current, and complete information about yourself (“Registration Data”), Your payment account details (“Payment Data”), Your biller details (“Biller Data”); and
maintain and promptly update the Registration Data, Payment Data, and Biller Data to keep it true, accurate, current, and complete at all times. If you provide any information that is untrue, inaccurate, not current, or incomplete, or Fave has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, Fave has the right to suspend or terminate Your account and refuse any current or future use of the Application and/or Services (or any portion thereof). The term biller includes telecom operators.

Fave assumes no responsibility and shall incur no liability if it is unable to affect any payment instruction(s) on the payment date owing to any one or more of the following circumstances:

If the payment instruction(s) issued by you is/are incomplete, inaccurate, invalid, and delayed;
If the payment account has insufficient funds/limits to cover the amount as mentioned in the payment instruction(s);
If the funds available in the payment account are under any encumbrance or charge;
If your bank or the clearing centre refuses or delays honouring the payment instruction(s);
If payment is not processed by the biller upon receipt;
Circumstances beyond the control of Fave (including, but not limited to fire, flood, natural disasters, bank strikes, power failure, systems failure like computer or communication lines breakdown, unforeseeable causes or interference from an outside force).

In case the bill payment is not effected for any reason, you will be intimated on the Application about the failed payment.

UPI

You can add your accounts (Bank, Credit Cards, Credit Lines, etc.) on the Application and then transact from them to other people/merchants subject to applicable NPCI guidelines. This will require a 'device binding' process to prevent fraud.
You can also check your balance and transfer money to your own account.
In case the UPI payment is not effected for any reason, you will be intimated on the Application about the failed payment.

User Registration

For the provision of Service, you may be required to fill out an online form and register yourself on the Application. You may also be required to provide all information and submit all documents as may be required for registration for availing the Service on the Application.
You agree to (a) provide true, accurate, and complete registration information, and (b) maintain and keep updated the registration information to keep it true, accurate, current, and complete. Fave has the right to suspend or terminate your user account and use of the Service if you provide any information that is found to be untrue, inaccurate, not current, or incomplete, or if Fave has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete.
If you are registering on behalf of a corporate entity, you represent that (a) you are duly authorised by the corporate entity to accept these Terms, (b) you have the authority to bind that corporate entity to these Terms, (c) you are solely responsible for the consequences arising out of such acts and Fave shall not be held liable in any manner to any person or entity.
By registering as a user, you authorise Fave to create and maintain an account in your name using your registration information as per its Privacy Policy as part of providing the Service.

User account

Upon successful registration, your user account will be activated. You agree and understand that (a) you shall not sell, transfer, or assign your user account to anyone else, (b) you are responsible for maintaining the confidentiality of the access/login credentials of your account, and (c) you are fully responsible for all activities that occur under your user account.
You are solely responsible for maintaining the security and confidentiality of your username and password and agree to immediately notify us of any disclosure or unauthorised use of your account or any other breach of security concerning your account.
You expressly agree to be liable and accountable for all activities that take place through your account. We shall in no manner be liable for any unauthorised access to your account.
You acknowledge and accept that Fave has not independently verified the information provided by you. Fave shall in no way be responsible or liable for the accuracy, obsolescence, or completeness of any information provided by you.
If you provide any information that is untrue, inaccurate, obsolete, or incomplete, or Fave has reasonable grounds to suspect that such information is untrue, inaccurate, obsolete, or incomplete, Fave reserves the right to suspend or terminate your account and refuse any current or future use of the Services by you.
You agree and understand that you will be solely responsible for maintaining the confidentiality of your password, which, together with your login ID, allows you to access the Services. Fave shall not be liable for any leak of information on your part and the consequences of the same. You agree to immediately notify us of any disclosure or unauthorised use of your credentials or any other breach of security concerning your account.
By providing us with your email address and mobile number, you agree to receive all required notices, notifications, and information electronically on that email address or mobile number. It is your responsibility to update any changes to your email address and mobile number.
If you become aware of any unauthorised use of your account, you agree to notify us immediately at the customer service helpdesk, the details of which are available on the Application. Fave shall not be liable for any unauthorised use or access unless it is proved that such unauthorised use or access occurred solely due to reasons directly attributable to Fave.

User Consent

Notwithstanding anything to the contrary hereunder and in accordance with the applicable laws, we do not store any financial information pertaining to you, except to the extent necessary to make the Services available to you.
We do not retrieve, share, or transfer your information provided by you on the Application or while availing the Services without your explicit consent.
The data pertaining to you shall be accessed, stored, and shared by Fave based on your explicit consent, as per the provisions of the Privacy Policy.
You agree that we may, in accordance with our Privacy Policy, collect and use your personal information, technical data, and related information.
Subject to our Privacy Policy, we may use information and data pertaining to your use of the Services for analytics, trends’ identification, and statistics to further enhance the effectiveness and efficiency of the Platform.
Subject to Applicable Law, we may be directed by law enforcement agencies or the government and related bodies to disclose data related to you in connection with criminal proceedings. You understand and agree that in such instances, we shall have the right to share such data with relevant agencies or bodies.

Notifications

You understand that your registered email ID and phone number may be used for the generation of a One Time Password at the time of login, and for any communications to you for the provision of the Services. You understand that you may not be able to opt out of essential communications that are necessary for the provision of the Services.
You authorise Fave to contact you for any Services or Offer(s). Fave may use third-party service providers to send alerts or communicate with you. You authorize Fave to override the DND settings to reach out to You over calls, SMS, emails, and any other mode of communication.
The notification service provided by Fave is an additional facility provided for your convenience and it may be susceptible to error, omission and/or inaccuracy. If you observe any error in the information provided in the alert, Fave shall be immediately informed about the same by you and Fave will make the best possible efforts to rectify the error as early as possible. You shall not hold Fave liable for any loss, damages, claim, or expense including legal costs that may be incurred/suffered by you on account of the SMS/e-mail alert/push notification facility.
The clarity, readability, accuracy, and promptness of providing the SMS/e-mail alert/push notification service depend on many factors including the infrastructure and connectivity of the service provider. Fave shall not be responsible for any non-delivery, delayed delivery, or distortion of the alert in any way whatsoever.
You will indemnify and hold harmless Fave and the SMS/e-mail service provider including its officials from any damages, claims, demands, proceedings, losses, costs, charges, and expenses whatsoever including legal charges and attorney’s fees which Fave or the SMS/e-mail service provider may at any time incur, sustain, suffer or be subjected to as a consequence of, or arising out of, any of the following: (i) misuse by you or improper or fraudulent information provided by you; or (ii) incorrect number or a number that belongs to an unrelated third party provided by you.
If you become aware of any unauthorised use of your user account or information, you agree to notify Fave immediately at support@fave.money]. Fave will not be liable for any loss or damage arising from your failure to maintain the confidentiality of your user account.
We may notify you in case of changes to the provisions of these Terms periodically. You understand that you will receive communication from us on your registered email and you will not be able to opt out of such essential communication.

Third-party websites

You understand that except for information, products, or services indicated as being supplied by Fave, we do not operate, control, or endorse any information, products, or services provided by third parties.
You also understand that Fave cannot and does not guarantee or warrant that files available for download through the Application will be free of viruses, worms, or other code that may be damaging. You are responsible for implementing procedures to satisfy your particular requirements of internet security and for the accuracy of data input and output.
The Services cannot initiate transactions affecting your third-party financial accounts or provide notices or instructions affecting such financial accounts. Transactional and informational activities initiated by you at such sites are not made through the Services and Fave assumes no responsibility for such activities. you are responsible for all charges associated with third-party accounts and agree to comply with such third-party terms of use.

Our Representations, Warranties, and Obligations

Fave represents and warrants that:

Services shall be provided in Compliance with applicable laws.
It shall not share any information that it acquires from you, without your explicit consent.
It shall share your financial information only with third parties as explicitly specified and consented by you.
It shall not request, access, or store the user login credentials of your accounts linked to the Services.

Fave agrees that it shall:

provide the Services to you based on your explicit consent, and
not use or access your Financial Information other than for performing Services as explicitly requested by you.

Your Representations, Warranties, and Responsibilities

You represent and warrant that all information that is provided through or concerning the Services is complete, true, and correct on the date of agreeing to these Terms, and shall continue to be complete, true, and correct while you avail the Services. Should any information that you provide change during the existence of these Terms, you undertake to immediately notify Fave of such change. Fave shall not be liable for any loss or damage that you may suffer or incur if any information, documentation, material, or data provided to avail the Services is incorrect, incomplete, inaccurate, or misleading, or if you fail to disclose any material fact.
You agree that you: (a) are responsible for ensuring compliance with applicable laws, (b) are liable for any liability that may arise due to a breach of your obligations in this regard, and (c) shall extend cooperation to Fave in its defence of any proceedings arising due to a breach of your obligations under these Terms.
You shall not use the Services in any manner except as expressly permitted in these Terms. You shall not:

use the Services to transmit any data or send or upload any material that contains viruses, trojan horses, worms, timebombs, keystroke loggers, spyware, adware, or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware,
use any robot, spider, deep link or other automated device, or manual process to monitor or copy the Application or any portion thereof,
engage in the systematic retrieval of content from the Application to create or compile, directly or indirectly, a collection, compilation, database, or directory,
use the Services in (i) any unlawful manner, (ii) for fraudulent or malicious activities, or (iii) in any manner inconsistent with these Terms,
violate applicable laws in any manner,
Upload, develop, post, e-mail, transmit or otherwise make available any content that is unlawful, harmful, or unauthorised to be uploaded/shared as part of the Services,
Impersonate or misrepresent any person or entity, including, but not limited to, individuals, officials, directors, employees, agents, authorised representatives, forum leaders, guides, or hosts, or falsely state or otherwise misrepresent any information or accounts,
Override any security feature or bypass or circumvent any access controls or user limits of the Services,
Represent that you are affiliated with or endorsed by Fave without Fave’s express written consent,
Monitor the Services’ availability, performance, or functionality for any competitive purpose,
attempt to gain unauthorised access to any portion or feature of the website, or any other systems or networks connected to the Services or any server, computer, or network by hacking, password “mining” or any other illegitimate means,
probe, scan, or test the vulnerability of the website or any network connected to the website nor breach the security or authentication measures on the website or any network connected to the website,
reverse look-up, trace, or seek to trace any information on any other user of the Application, or any other customer, including any account on the website not owned by you, to its source, or exploit the website or the Service or information available through the website, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your information, as provided for by the Application,
make any negative, denigrating, or defamatory statements or comments about Fave or its brand name or domain name, or otherwise engage in any conduct or action that might tarnish the image or reputation, of Fave or otherwise tarnish or dilute any Fave’s trade or service marks, trade name and/or goodwill associated it,
use any device, software, or routine to interfere or attempt to interfere with the proper working of the website, Application, or the Services or any other person’s use of the Website,
host, display, upload, modify, publish, transmit, update, or share any information that belongs to another person and to which you do not have any right,
infringe any patent, trademark, copyright, or other proprietary rights or third party's trade secrets or rights of publicity or privacy or shall not be fraudulent or involve the sale of counterfeit or stolen products, or
attempt to gain unauthorised access to any portion or feature of the Application, any other systems or networks connected to the Services, to any of Fave’s servers by hacking, password mining, or any other illegitimate means.
refuse to cooperate in an investigation or provide confirmation of your identity or any other information provided by you to Fave.
use the Application to collect or obtain personal information, including without limitation, financial information, about other users of the Application, except and only as expressly provided in the Terms.
use the Services in a manner that results in or may result in complaints, disputes, reversals, chargebacks, fees, fines, penalties, and other liability to Fave, a third party, or you.

Know Your Customer

Fave may be required to undertake certain know-your-customer (“KYC”) processes in relation to the Services. Towards this, you may be required to upload information and documents that may be necessary to ascertain your eligibility to use certain features of the Services (“KYC Documents”).
You authorise Fave, and any authorised third-party service provider it may engage, to process your KYC Documents to ascertain your eligibility. Fave shall process your KYC Documents as per its Privacy Policy. you agree to comply with such additional terms of service in the event a third party processes information under this clause.
You agree and acknowledge that (a) you will provide true, complete, and up-to-date KYC Documents, (b) any false or misleading information provided in this regard shall constitute a material breach of these Terms, and (c) your access to certain features of the Services may be limited or denied if you fail to share the required KYC Documents.

Intellectual Property

The contents of the website, Application, and Services, including its "look and feel” (e.g., text, graphics, images, logos, and button icons), photographs, editorial content, notices, software (including Html-based computer programs, source code, object code, etc.) and other material are the owned/licensed by/to Fave and/or its suppliers or their licensors and are duly protected by them under applicable copyright, trademark, and other laws.
You acknowledge and agree that Fave and/or its licensors or suppliers own all rights to this website, Application, Services, the content displayed on the Application, and any intellectual or proprietary property and/or technology (in any form) made available to you as a part of the Services.
You acknowledge that the Services and any software used in connection with the Services contain proprietary and confidential information of Fave and/or its third-party licensors.
You are only permitted to access and use any of the Services as expressly authorised by these Terms. You may use the Services for your personal, internal, and non-commercial use only. you shall not copy, obscure, remove, modify, reprint, reproduce (electronically or otherwise), rent, lease, loan, sell, distribute, or create derivative works from any content on the website, the Application, or the Services, in whole or in part, for any other purpose without Fave’s prior written consent.
You agree not to reverse engineer or reverse compile any technology associated with the Services, including but not limited to any software applications associated with the Services, in whole or in part.
We may request you to submit suggestions and other feedback, including bug reports, relating to the Application or Services from time to time (“Feedback”). We may freely use, copy, disclose, publish, display, distribute, and exploit the Feedback without any payment of royalty, acknowledgement, prior consent, or any other form of restriction arising out of your intellectual property rights.

Compliance with Laws

You agree to comply with all applicable laws while using the Services. You agree not to use the Services for any illegal purpose or for the transmission of material that is unlawful, harassing, libellous (untrue and damaging to others), invasive of another's privacy, abusive, threatening, or obscene, or that infringes the rights of others. you shall also ensure that you are not prohibited, whether contractually or otherwise, from availing of the Services.

Termination of Services

Fave has the right to immediately terminate your access or right to use the Services:

in case of any non-compliance or violation of these Terms,
if it is so required to be by an express direction of law, or
you do not meet the eligibility criteria stated under Section 3 of these Terms.

Disclaimer

All data provided by Fave as part of the Services is on an “as is” and “as available” basis. Except to the extent expressly stated in these Terms, Fave expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of accuracy, reliability, merchantability, fitness for a particular purpose, and non-infringement.
Without limiting the foregoing, we make no warranty that:

the Application or the Services will meet your requirements or expectations, or that your use of the Services will be uninterrupted, timely, secure, or error-free; and/or
any errors or defects in the Application will be corrected.

Fave shall not be responsible for any errors or delays in the data provided through the Services or for any actions taken in reliance thereon.
ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DONE AT YOUR DISCRETION AND RISK AND WE ARE NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH OR FROM THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. TO THE EXTENT THAT ANY PART OF THIS SECTION IS NOT CONSISTENT WITH ANY OTHER PART OF THESE TERMS, THEN THIS SECTION WILL PREVAIL.
To the fullest extent permissible by law, we, our affiliates, and related parties each disclaim all liability towards you for any loss or damage arising out of or due to your use of, inability to use, or availability or unavailability of the Services.
To the maximum extent under applicable law, you agree to waive, release, discharge, and hold harmless us, our affiliated and subsidiary companies, their parent companies, and each of their directors, officers, employees, and agents, from all claims, losses, damages, liabilities, expenses and causes of action arising out of the Services.

Indemnity

You agree to indemnify and hold harmless Fave, its owners, licensees, affiliates, subsidiaries, group companies (as applicable), and their respective officers, directors, agents, and employees, from and against, any and all suits, actions, and proceedings, claims, liabilities, losses, damages, costs, and expenses, including reasonable outside attorneys’ fees, arising directly or indirectly in connection with (a) your violation of any law, regulation or order of any government or judicial authority, (b) any act, omission, fraud, negligence, (c) default or breach of these Terms, (d) Your use or misuse of the Application or the Services, or (d) any infringement of any intellectual property rights of Fave or any third-party.
Fave reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Fave, including rights to settle, and you agree to cooperate with Fave’s defense and settlement of these claims. We will use reasonable efforts to notify you of any claim, action, or proceeding brought by a third party that is subject to the foregoing indemnification upon becoming aware of it. This paragraph shall survive termination of these Terms.

Modification of the Terms

Fave reserves the right to change, modify, add, or remove portions of the Terms (each, a change and collectively, changes) at any time by posting a notification on the Application or otherwise communicating the notification to you. The changes will become effective and shall be deemed accepted by you, 24 hours after the initial posting, and be applicable immediately on a prospective basis concerning your use of the Application and Services for transactions initiated after the posting date. If you do not agree with any such change, Your sole and exclusive remedy is to terminate your use of the Application and/or the Services. For certain changes, Fave may be required under applicable law to give you advance notice, and Fave will comply with such requirements. Your continued use of the Application and the Services following the posting of changes will mean that you accept and agree to the changes.

Limitation of Liability

In no event shall Fave be liable to you or any third party, whether in contract, warranty, tort (including negligence), or otherwise, for any indirect, special, incidental, consequential, exemplary, intangible, liquidated, or punitive damages, including but not limited to loss of profit, revenue or business, business interruption, loss of information, loss of savings or any other damages, even if Fave has been advised of the possibility of such damages, arising out of:

The use or the inability to access or use the Services,
Any products, data, information, or service purchased or obtained or messages received through or from the Services,
Unauthorised access or use of your personal data used by you to access your third-party accounts,
Alteration of your transmissions or data obtained from/stored in your third-party accounts, or
Any other matter relating to the Services.

In no event shall Fave’s aggregate liability for all claims exceed the fees or other consideration paid by you for availing the Services.

Grievance Redressal

We will provide the necessary support to you concerning any grievances/complaints about the Services. All support shall be provided through email. For any support or help please send an email to support@fave.money.

Governing law and Jurisdiction

These Terms shall be governed in accordance with the laws of India. All legal proceedings arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, India. All disputes that may arise shall be referred to arbitration by a sole arbitrator appointed by mutual agreement. The arbitration shall be conducted as per the Arbitration and Conciliation Act, 1996. The proceedings shall be held in Bengaluru. The language of the arbitration shall be English. The decision of the arbitrator shall be final and binding on the Parties.

Miscellaneous

Modification: We reserve the right to modify these Terms and to add new terms or conditions on the access or use of the Services. Such changes will be communicated to you. Unless expressly rejected (in which these Terms shall terminate), such modifications will be effective immediately and incorporated into these Terms. If you refuse to accept such changes, these Terms and the Services provided hereunder will terminate.
Severability: If any provision of these Terms is determined by a competent court to be unlawful or unenforceable, the other provisions of these Terms will continue in effect.
Assignment: You shall not licence, sell, transfer, or assign their rights, obligations, or covenants under these Terms in any manner without Fave’s prior written consent.
Waiver: Failure of Fave to enforce any provision of this Terms shall not be deemed a waiver of such provision nor of the right to enforce such provision.
Notices: All notices, requests, demands, and determinations for us under these Terms (other than routine operational communications) shall be sent via email to support@fave.money.
Third Party Rights: No third party shall have any rights to enforce any terms contained herein.
Force Majeure: Fave shall have no liability to you if it is prevented from or delayed in performing its obligations or from carrying on its business by acts, events, omissions, or accidents beyond its reasonable control, including, without limitation, strikes, failure of a utility service or telecommunications network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation, or direction.
